BY CLICKING ON THE "I ACCEPT" BUTTON, COMPLETING THE REGISTRATION PROCESS, AND/OR USING THE SOLUTION (AS DEFINED BELOW), YOU REPRESENT AND WARRANT THAT (1) YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE AGREEMENT; (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH SKYELLO; AND (3) IF YOU ARE USING THE SOLUTION IN YOUR CAPACITY AS AN EMPLOYEE OR REPRESENTATIVE OF AN ORGANIZATION OR OTHER LEGAL ENTITY, YOU HAVE THE AUTHORITY TO ENTER INTO THE AGREEMENT PERSONALLY AND ON BEHALF OF THE ORGANIZATION OR ENTITY YOU REPRESENT, AND TO BIND THAT ORGANIZATION OR ENTITY TO THE AGREEMENT. THE TERM "CUSTOMER" REFERS TO YOU IN YOUR PERSONAL CAPACITY AND TO ANY SUCH ORGANIZATION OR ENTITY. IF CUSTOMER DOES NOT AGREE TO BE BOUND BY THE AGREEMENT, CUSTOMER MAY NOT ACCESS OR USE THE SOLUTION.

This agreement ("Agreement") is entered into by and between Skyello, Inc. ("Skyello") and the Customer (as defined below) as of the date that Customer clicks the "I Accept" button ("Effective Date").

1. Definitions

1.1. "Connected Systems" mean the third-party and Customer systems pursuant to which the Solution may interoperate or otherwise connect with.

1.2. "Documentation" means Skyello's published documentation regarding the Solution and any other documentation which may be made available to Customer by Skyello in connection with this Agreement.

1.3. "End Users" means employees and independent contractors who are authorized by Customer to access the Solution on Customer's behalf pursuant to Customer's rights under this Agreement.

1.4. "Skyello Technology" means the Solution, Documentation, and any other software or technology which is provided or otherwise made available to Customer by Skyello in connection with this Agreement.

1.5. "Solution" means the Skyello hosted platform made available to Customer under this Agreement, including any Updates thereto.

1.6. "Updates" means any subsequent version, update, modification, or new release of the Skyello Technology or any portion thereof, in each case solely to the extent Skyello elects, in its sole discretion, to make the foregoing available to Customer under this Agreement.

2. Term and Termination

2.1. Term. This Agreement will commence upon the Effective Date and will continue for the period indicated on Customer's ordering document with Skyello or Skyello's authorized reseller, as applicable, unless earlier terminated pursuant to Section 2.2 (the "Term").

2.2. Termination. Skyello may terminate this Agreement, Customer's accounts on the Solution, and/or suspend, restrict or terminate Customer's access to any Skyello Technology or any portion thereof at any time for any reason or no reason, with or without notice. Customer may terminate this Agreement, for any reason or no reason, by providing written notice of its intent to terminate to Skyello and closing its account.

2.3. Effect of Termination. Upon any termination of this Agreement, unless otherwise expressly authorized in writing by Skyello, Customer will immediately cease the use of all of the Skyello Technology. All definitions and the provisions of Sections 2.3, 3.2, 3.3, and 4 through 12 of this Agreement shall survive any termination or expiration of this Agreement.

3. Use of the Skyello Technology

3.1. Access to the Solution. Subject to the terms and conditions of this Agreement, Customer may access and use the Solution during the Term solely for Customer's internal use. If Customer is being granted access in connection with a proof of concept, pilot, evaluation, or similar project or proposal related to the Solution (POC), then use of the Solution shall additionally be limited to evaluation use in connection with such POC. Skyello retains all right, title, and interest in and to the Skyello Technology, including without limitation all software incorporated into or used by the Solution.

3.2. Restrictions. Customer acknowledges that the Skyello Technology constitutes the valuable property and trade secrets of Skyello, and Customer agrees that Customer will not, directly or indirectly, do or attempt to do any of the following without Skyello's prior written consent:

  • Share Customer's account credentials or make any of the Skyello Technology available to any third party
  • Distribute, publicly perform, publicly display, license, sell, resell, share, rent, lease, sublease, assign, or transfer any of the Skyello Technology to any third party
  • Reproduce, modify, translate, or create derivative works of any part of the Skyello Technology
  • Decompile, reverse engineer, or reverse assemble any portion of the Skyello Technology
  • Access or use the Skyello Technology to build a competitive product or service
  • Use the Skyello Technology for any unlawful purpose or in violation of applicable laws
